#### 1. Introduction

Welcome to Meddivo. This mobile application (“App”) is owned and operated by Meddivo FZC-LLC, a company incorporated in the United Arab Emirates with its registered office at Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates (“Meddivo”, “we”, “us”, or “our”).

By accessing or using the Meddivo App, you agree to be bound by these Terms & Conditions (“Terms”). If you disagree with any part of the Terms, then you may not access the App.

#### 2. Services

The App provides a platform for buying goods, booking appointments with doctors, obtaining health tips via an AI assistant, and other related services. The AI assistant offers general health advice and information, and should not be considered as a substitute for professional medical advice, diagnosis, or treatment.

#### 3. Eligibility

The services of Meddivo are available only to individuals who are at least 18 years old, unless we specify otherwise. No person under the age of 18 will form any contractual relations with Meddivo FZC-LLC.

#### 4. User Registration

Users may need to register to use certain features of the App. Users agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

#### 5. Location Permissions

The App requests users to enable location services to find nearby pharmacies and for the purpose of providing more relevant content and services. Users can decline sharing their location; however, some features of the App might not function properly without enabling location services.

#### 6. Privacy

#### 7. User Content

Users are responsible for all content they upload, post, email, transmit, or otherwise make available via the App. Meddivo does not control the user content and, as such, does not guarantee the accuracy, integrity, or quality of such content.

#### 8. Intellectual Property

All intellectual property rights in the App, its content, and the underlying technology are owned by Meddivo FZC-LLC or our licensors. Users may not use our intellectual property unless they have our explicit consent.

#### 9. Payment

Users agree to pay all fees or charges to their account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Meddivo FZC-LLC reserves the right to modify its pricing structure at any time.

#### 10. Prohibited Activities

Users agree not to engage in unacceptable use of the App, which includes, without limitation, use of the App to:

– Disseminate or transmit unsolicited messages, chain letters, or unsolicited commercial email

– Disseminate or transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, or otherwise objectionable

– Transmit or disseminate any content that infringes or violates any party’s copyright, trademark, trade secret, patent, or other proprietary rights

– Gain unauthorized access to other accounts on the App, other computer systems, or networks

#### 11. Liability Limitation

To the fullest extent permitted by applicable law, Meddivo FZC-LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the use or inability to use the App; (b) any unauthorized access to or use of our servers; or (c) any other matter related to the App.

#### 12. Changes to Terms & Conditions

Meddivo FZC-LLC reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

#### 13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles. Any disputes relating to these Terms or the App will be heard in the courts located in Sharjah.

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability of such provision will not affect the validity or enforceability of the remaining provisions of these Terms, which will remain in full force and effect.
